These Terms of Service (“Terms”) govern your access to and use of the website operated by Hekate Strategies LLC (“Hekate Strategies,” “we,” “us,” or “our”), including any content, consultations, project services, digital products, courses, retreats subscriptions, or other services offered through the website (collectively, the “Services”).

By accessing or using the Services, submitting information, creating an account, or purchasing a product or service, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to purchase Services or enter into a binding agreement with us. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Services

Hekate Strategies provides strategic consulting, marketing, branding, web design, business advisory, digital products, website hosting, and related services. The specific scope, deliverables, timeline, and price for project-based work will be set out in a proposal, estimate, statement of work, or service agreement (“Project Agreement”).

We may modify, suspend, or discontinue any part of the Services at any time, except where prohibited by law. We do not guarantee any particular business, financial, marketing, or personal outcome.

3. Accounts and User Responsibilities

If you create an account, you agree to provide accurate information, keep your login credentials confidential, and notify us promptly of unauthorized access. You are responsible for all activity under your account.

You may not use the Services to violate any law, infringe intellectual-property rights, transmit malicious code, scrape data without permission, interfere with the website’s operation, or impersonate another person or entity.

4. Project Deposits and Payment

For project-based Services, Hekate Strategies requires a non-refundable deposit equal to 50% of the total project fee before work begins, unless a different amount is expressly stated in a signed Project Agreement.

The remaining balance is due according to the payment schedule in the applicable Project Agreement. If no schedule is stated, the remaining 50% is due upon completion of the project and before final delivery of files, access, or other final work product.

By submitting a deposit or payment, you authorize us to process the payment through the payment method you provide. You are responsible for all applicable taxes, payment-processing fees, and third-party costs, unless otherwise agreed in writing.

5. Refunds and Cancellations

5.1 Project Deposits

The 50% project deposit is non-refundable once the Project Agreement is signed, the deposit is paid, or work has begun, whichever occurs first. The deposit compensates Hekate Strategies for reserving capacity, planning, discovery, administrative work, and other costs associated with beginning the project.

If Hekate Strategies cancels a project before delivering the agreed Services and the cancellation is not caused by your breach of these Terms or the Project Agreement, we will refund the unused portion of any payments made, less amounts attributable to work already performed.

5.2 Project Cancellation by Client

If you cancel a project after work has begun:

  • The 50% deposit is retained.

  • You remain responsible for payment for all work completed through the cancellation date.

  • Any unpaid balance for completed work, deliverables, third-party costs, or expenses incurred on your behalf may be invoiced and is due upon receipt.

  • Work product created before cancellation may be withheld until outstanding amounts are paid.

5.3 Scheduled Sessions

For consulting, coaching, strategy, or other scheduled sessions, you must provide at least 48 hours’ advance notice to cancel or reschedule without penalty. Late cancellations or missed appointments may result in forfeiture of the session fee or a $297 late-cancellation fee, unless we determine an exception is appropriate.

5.4 Digital Products and Subscriptions

Digital products, templates, downloads, and course access are non-refundable once access is delivered / refundable within 7 days if substantially not as described.

For subscriptions, you may cancel before the next renewal date to stop future charges. Cancellation does not automatically refund prior charges unless required by law or expressly stated.

5.5 Refund Requests

To request a refund, email hello@hekatestrategies.com with your name, email address, order or invoice number, purchase date, and a brief explanation. We will review eligible requests within 5 business days. Approved refunds will be issued to the original payment method, generally within 5 business days after approval, though your bank may take additional time to post the refund.

5.6 Chargebacks

Before initiating a chargeback, please contact us at hello@hekatestrategies.com so we can attempt to resolve the issue. Unwarranted chargebacks may result in suspension of access to Services and recovery of amounts owed, where permitted by law. This does not limit any right you may have to dispute a charge with your payment provider.

5A. Recurring Services and Payments

5A.1 Recurring Services

Certain Services may be offered on a recurring basis, including monthly or annual subscriptions, retainers, memberships, maintenance plans, hosting, software access, or ongoing consulting (“Recurring Services”). The price, billing frequency, services included, minimum term, and renewal date will be disclosed before you purchase or enroll.

By purchasing Recurring Services, you authorize Hekate Strategies LLC to charge your selected payment method automatically at the beginning of each billing period until the service is canceled or terminated.

5A.2 Automatic Renewal

Unless you cancel before the end of the current billing period, your Recurring Services will automatically renew for the same duration and at the then-current rate, unless a different renewal term or price is disclosed at purchase.

We may change the price of Recurring Services for future billing periods. If we do, we will provide reasonable advance notice by email or through your account before the change takes effect. If you do not agree to the new price, you may cancel before the next renewal date.

5A.3 Cancellation

You may cancel Recurring Services at any time by emailing hello@hekatestrategies.com or by using the cancellation method disclosed in your account or order confirmation, if available.

To avoid being charged for the next billing period, cancellation must be received at least 30 days before the next scheduled renewal date. If cancellation is received after that deadline, the next charge will still process, and the cancellation will take effect at the end of the then-current billing period.

Cancellation stops future recurring charges. It does not automatically refund payments already made for the current billing period, except where required by law or expressly stated in a promotion, guarantee, or Project Agreement.

5A.4 Retainers and Minimum Terms

If you purchase a monthly retainer or other Recurring Service with a minimum commitment, you agree to pay for the full minimum term. After the minimum term ends, the service will continue on a month-to-month basis unless canceled under Section 5A.3.

Retainer fees reserve dedicated capacity, personnel time, and availability. Unless otherwise agreed in writing, unused retainer hours or deliverables do not roll over to future months and are not refundable.

5A.5 Failed Payments

If a recurring payment is declined or fails, we may attempt to charge the payment method again and may send you a notice requesting updated payment information. If payment remains unpaid, we may suspend or terminate access to the Recurring Services, pause project work, or withhold deliverables until the balance is paid.

You remain responsible for any amounts due, including charges incurred before cancellation or suspension.

5A.6 Refunds for Recurring Services

Recurring charges for the current billing period are generally non-refundable once the billing period has begun, because the fee reserves capacity and provides access to ongoing Services. Refunds may be available only if:

  • We cancel the Recurring Service and have not provided the paid-for Services;

  • A written promotion or guarantee expressly provides a refund; or

  • A refund is required by applicable law.

If we approve a partial-month refund, it will be calculated based on the unused portion of the billing period, less any Services already rendered, third-party costs, or expenses incurred on your behalf.

6. Client Responsibilities

For project work, you agree to provide timely access to information, materials, approvals, brand assets, credentials, and other items reasonably needed to perform the Services. Delays caused by missing information, delayed feedback, or failure to approve deliverables may affect timelines and may result in additional fees.

You represent that any materials you provide to us do not infringe the rights of any third party and that you have the right to use and share them with us.

7. Intellectual Property

All website content, branding, text, graphics, logos, methodologies, templates, course materials, and other materials are owned by Hekate Strategies LLC or its licensors and are protected by intellectual-property laws.

Upon full payment for a custom project, you will receive the ownership or license rights specifically stated in the applicable Project Agreement. Unless expressly stated otherwise, Hekate Strategies retains ownership of its pre-existing tools, frameworks, templates, processes, know-how, and general business methods.

You may not copy, resell, redistribute, publicly display, sublicense, or create derivative works from our materials without our prior written permission.

8. User Content

If you submit comments, testimonials, feedback, files, or other content (“User Content”), you grant Hekate Strategies a worldwide, royalty-free, non-exclusive license to use, store, reproduce, modify, and display it as needed to operate and improve the Services.

You represent that you own or have the right to submit User Content and that it does not violate any law or third-party right.

12. Limitation of Liability

To the fullest extent permitted by law, Hekate Strategies LLC and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total aggregate liability arising from or relating to the Services will not exceed the greater of:

  • The amount you paid to us for the Service giving rise to the claim during the 3 months before the claim arose; or

  • $100.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Hekate Strategies LLC and its affiliates, owners, employees, and contractors from claims, damages, liabilities, and reasonable expenses arising from your use of the Services, your violation of these Terms, your breach of a Project Agreement, or your violation of any law or third-party right.

14. Disputes

14.1 Informal Resolution

Before starting a formal dispute, email hello@hekatestrategies.com with a description of the issue and relevant order, invoice, or project details. The parties will attempt in good faith to resolve the dispute informally for 30 days after notice is received.

14.2 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws principles. This does not limit consumer-protection rights that cannot be waived under applicable law.

14.3 Venue

Except where prohibited by law, any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Indiana, and you consent to their jurisdiction and venue.

14.4 Optional Arbitration

Court resolution: Disputes will be resolved in court as described above.

14.5 Class Action Waiver

To the extent permitted by law, you and Hekate Strategies agree that disputes will be resolved on an individual basis and that neither party may bring a claim as a plaintiff or class member in a class, collective, or representative action.

15. Termination

We may suspend or terminate your access to the Services if you violate these Terms, create legal or security risks, or fail to pay amounts due. You may stop using the Services at any time.

Sections concerning payment, refunds for completed work, intellectual property, disclaimers, liability limits, indemnification, and dispute resolution will survive termination.

16. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” above will show the latest revision. Material changes will be posted on this page, and continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
